Please note additionally that by registering for the services provided by www.partiso.co.uk and/or by using this website, you fully agree with these terms and conditions.





1 USER AGREEMENT

These terms and conditions shall constitute a binding contract between you and Partiso.co.uk. These Terms and Conditions shall cover your use of our website and the services provided by us. By accessing our website Partiso.co.uk or by using any of our current or future services and also by becoming a registered user (Provider), you agree to all terms and conditions included herein.

Please print a copy of these Terms and Conditions or save them as an electronic file in the format of your choice.

The following Terms and Conditions may be amended from time to time by Partiso.co.uk. Once the amended terms and conditions are made available and displayed on our website, all new and existing users of our services shall be bound by the amended Terms and Conditions from that date.


2 DEFINITIONS

• “We”, “our” and/or “us” shall mean Partiso.co.uk.
• “You” shall mean any user of Partiso.co.uk.
• “Enquirer” shall mean any user of Partiso.co.uk searching for music, artistic or gastronomic event services.
• “Provider” shall mean any user of Partiso.co.uk who has registered for a listing in our catalogue and is offering music, artistic or gastronomic event services.
• “Catalogue” shall mean a directory made available by Partiso.co.uk, whereby Providers can present their service by means of an individual offer page (hereupon referred to as “Profile Page”).
• “Request” shall mean either
(a) enquiries containing non-personal data, which are forwarded by us to existing or potential Providers and which are published on Partiso.co.uk.
(b) enquiries containing personal data (i.e. name and email address), which may only be used in written or textual communication between Enquirers and Providers (hereinafter referred to as “Conversation”).


3 SPECIFICATION OF SERVICES

Partiso.co.uk is a service that provides information and contacts between Enquirers and Providers in the field of event planning and entertainment services. The services provided by Partiso.co.uk shall be free of charge.

Enquirers may search and request music, artistic or gastronomic event services by either (a) filling in a form provided by us or (b) requesting a certain Provider listed in our catalogue. Any of these actions shall be noncommittal and free of any charge.

The Enquirer’s Request will be forwarded by us to existing and/or potential Providers. The Request will also be published on Partiso.co.uk. Requests containing personal data (i.e. name and email address) are restricted for use in written or textual communication between Enquirers and Providers. Conversations between Enquirers and Providers shall remain undisclosed.

Providers must register for a listing in our catalogue; the registration shall be free of charge. Once you complete your registration, a password protected personal user account will be generated. You will then be able to create a Profile Page to advertise your commercial music, artistic or gastronomic event service. For that purpose, Providers can add or upload texts, images and/or links to other websites to the Profile Page.

Enquirers will be able to evaluate Providers via feedback ratings. These feedback ratings will be displayed on the respective Profile Page.


4 SERVICE RESTRICTIONS

Our service shall be restricted to transferring Requests and allowing for communication using our internet platform, whereby anonymity can be preserved.

As regards the Enquirer, our service shall be free of any charge. The decision whether and with which Provider an Enquirer will conclude a contract (i.e. regarding an event) shall be made solely by the Enquirer.

Enquirers shall be allowed to cancel or terminate their Request at any time and without stating any reasons.

We reserve the right to verify any Request before forwarding it to the Provider. Furthermore, we shall be allowed to use any Request for recruiting new Providers.

Providers shall be allowed to initialise a written Conversation within a maximum period of 7 days after the receipt of a forwarded Request. As soon as a Conversation has been started, you shall be able to communicate through our platform during a period of 14 days after the event date, unless the Conversation is previously terminated by the Enquirer.


5 ENQUIRER’S OBLIGATIONS

As an Enquirer, you shall commit to the following:
• you shall only search our platform for services and/or place Requests in the case that you actually have the intention to conclude a contract;
• in the case of losing interest in a Request, you shall cancel or terminate your Request;
• you must not use any false or misleading information or pass yourself off as another person;
• you must not make use of our services for any unlawful purpose.


6 PROVIDER’S OBLIGATIONS

As a Provider, you shall hereby agree
• not to disclose any personal data or information to third parties.

Further, you shall generally undertake
• not to use our service or its material for any unlawful purpose;
• not to use our service for the transmission or posting of any material which is defamatory, false, misleading, offensive or of an obscene, sexually explicit or menacing character, or in such a way as to cause annoyance, inconvenience or needless anxiety;
• not to use our service in a way which constitutes a violation or infringement of any person, firm or company (including but not limited to rights of copyright or confidentiality);
In the case that a Provider infringes these Terms and Conditions, we shall have the right to immediately suspend that Provider from the access to our services and/or edit or remove any listings or material from the respective Profile Page.


7 NO WARRANTY

Our service at Partiso.co.uk shall be provided on an “as is” and “as available” basis. In particular we do not warrant that:
• our service will continue to be available to you in either its current format;
• our service or any software available from it will be free from viruses or defects;
• any material contained on our site will be true, accurate or complete in all respects, except always to the extent otherwise set out in the Terms and Conditions and to any warranties which would be implied by law
Partiso.co.uk reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the service (or any part thereof) with or without notice. You agree that Partiso.co.uk shall not be liable to you or to any third party for any modification, suspension or discontinuance of the service.


8 RESPONSIBILITY

Once the contact or Conversation is established, it shall be for the Enquirer and the Provider to conduct contract negotiations. As we only provide procurement services, we do not assume any liability for the accomplishment or performance of contracts and commitments between the Enquirer and Provider.

You shall acknowledge and recognize that Partiso.co.uk cannot perform background or security checks regarding any of its current or future users, and that we cannot account for the personalities, practices, or actions of our users.


9 DATA PROTECTION, PRIVACY POLICY

Personal data provided by you shall be stored in machine-readable form and be processed only in the context and the purpose of this contractual relationship. We must not sell, rent or pass your personally identifying information including your email address on to third parties.

By entering their data, Enquirers shall agree to the usage of their data as mentioned above (see above 2: SPECIFICATION OF SERVICES).

Our site may utilize cookies. A cookie is information that many sites save to a file on your computer or mobile device. A cookie by itself will not and cannot be used by a site to procure personal data about a user. It cannot be used to read data stored on your computer other than what has been voluntarily provided by you or is inside cookies provided by the same web site. We utilize cookies to improve our service. Cookies have a certain life span. Some are active only as long as your browser is open (session cookies), others have a duration of several days, weeks or months (persistent cookies). They are saved as a file in a cookie directory when you exit your browser. If the “Expiration Date” is reached, the cookies are deleted automatically by your browser. Most web browsers have a feature that allows you to selectively accept certain cookies or reject all of them. You can also delete Cookies any time manually by using the respective function of your web browser software.

10 INTELLECTUAL PROPERTY

The Provider shall hereby guarantee to be the holder of all necessary rights concerning any media used on or involved in their Profile Page. You shall be legally responsible for any material you upload, post or submit, and you shall understand that by doing so, you intend it to be published on our site. Such material may include without limitation words, photographs, artwork, (still or moving) pictures, and sound.
Providers shall indemnify and hold us harmless against all claims, liability, damages, costs, and expenses, including legal fees, arising out of a breach of these Terms and Conditions or a violation of third party rights caused by using our platform and/or services.
We shall not be liable for any fees that are charged by holders of rights, copyright collecting societies or performance rights organisations (such as MCPS, PRS for the field of Music) for the use of copyright protected content on our platform or web site. The Provider shall be responsible for uploading those contents and shall indemnify and hold us harmless against the respective claims.
Furthermore, you shall grant us free of charge a non-exclusive and sub-licensable right to edit, delete, copy, translate, create derivative works from, publish, broadcast, transmit, distribute, perform, make available to the public or otherwise use, re-use or not use any material contributed by you on our site.


11 TERMINATION OF SERVICE

Both Provider and Enquirer shall be allowed to terminate the user account at any time without notice. You agree that we will not be liable to you or to any third party if the service is suspended. Upon termination, we disable the user account and discontinue the publishing Profile Page on this platform.


12 LIMITATION OF LIABILITY

We are not liable for any loss or damage, howsoever arising, from using or registering to our site and/or its usage by other parties, your use of it or inability to use it, or any errors and omissions of our site, whether in contract, tort or otherwise and whether such loss or damage is foreseen or foreseeable. This includes - but is not restricted to - indirect, consequential, special or exemplary damages, loss of business, loss of profit, loss of revenue, loss of opportunity, loss of reputation, loss of data and loss suffered by third parties.
This limitation does not exclude our liability for fraud, or for death or personal injury caused by our negligence, or for any other liability which cannot be excluded or limited by law.


13 SEVERABILITY

If any of these terms are determined to be illegal, invalid or otherwise unenforceable by any court then, to the extent to which that term is illegal, invalid or unenforceable, it shall be severed and deleted from these Terms and Conditions and the remaining terms shall remain in full force and effect.


14 JURISDICTION

These Terms and Conditions shall be governed by German law.

Any disputes will be submitted to and resolved by the exclusive jurisdiction of the courts of Federal Republic of Germany; the place of jurisdiction shall be Leipzig, Germany.
